VESTCOM INTERNATIONAL

Vestcom International, Inc. provides computer output and document management services to a broad range of industries. Concurrently with the consummation of the Offering, Vestcom will acquire the seven Founding Companies. These companies provide a number of value-added services including (i) the production and distribution of time-sensitive computer-generated documents on paper, compact disc, microfiche, microfilm and labels, (ii) demand publishing, (iii) mailing services, (iv) marketing materials fulfillment and (v) forms management. See "The Company." Prior to the Offering, Vestcom has not conducted any operations.
