NCM SERVICES

NCM Services is a provider of software design and engineering services to the mobile and handheld device industry. In February 2003, the Company ceased ongoing business activity at its last operating division. Although the Company has essentially exited the software business and has no employees devoted to generating software revenues, it has one remaining software contract with Toshiba for the license of its Mobile Server software. This contract runs through September 2004. The Company has no current plans, proposals, agreements, understandings, or arrangements to acquire or merge with any specific business or company nor does it have current plans to develop new operations.
