FIRST COMMUNITY FINANCIAL

First Community will not transact any material business. Following the conversion, in addition to directing, planning and coordinating the business activities of Community Savings, First Community will invest the portion of the conversion proceeds retained by it. First Community will have no significant assets other than the shares of Community Savings' capital stock acquired in the conversion, the loan receivable held with respect to its loan to the ESOP and that portion of the net proceeds of the conversion retained by it, and it will have no significant liabilities.
